Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vault47, a platform operated by Vault47 Tech LLC ("Vault47", "we", "us") (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 and authorized to bind your business. You are responsible for activity under your account and for keeping credentials secure. One account per person; sharing logins is prohibited.

2. Your content

You retain ownership of inventory data, photos, client records, and other content you upload ("Your Content"). You grant Vault47 a worldwide, non-exclusive license to host, process, display, back up, and transmit Your Content as needed to operate and improve the Service.

3. AI features and pricing changes

Please read carefully.

• AI pricing may change. Vault47's AI credit pricing, included quotas, per-feature costs, and rate limits may change at any time. Continued use of AI features after a change constitutes acceptance of the new pricing.
• No training on your content. Content you submit to AI features is processed solely to produce the output you requested and to operate and secure the Service. Your business content and your clients' personal information are not used to train Vault47 models or the models of our AI providers, and our providers are contractually prohibited from using it for model training. This matches Section 3 of our Privacy Policy.
• No guarantee. AI outputs (pricing estimates, extractions, marketing content, chat responses) are informational only and may be inaccurate. You are responsible for verifying outputs before relying on them commercially.

4. Acceptable use

You must comply with our Acceptable Use Policy. You may not use the Service to infringe rights, deceive clients, launder proceeds, sell counterfeit goods, or violate law.

5. Third-party integrations

Integrations with Gmail, WhatsApp, Meta, Instagram, Telegram, Higgsfield, GatewayAPI SMS, payment processors, and other third parties are governed by their own terms. Vault47 is not responsible for third-party services.

6. Fees & billing

Subscription fees, AI credit fees, SMS pass-through fees, and other charges are billed as described in-app. Fees are non-refundable except where required by law. We may change fees on 30 days' notice for subscriptions and at any time for usage-based AI features.

7. Suspension & termination

We may suspend or terminate accounts that violate these Terms, present a security or fraud risk, or fail to pay. You may cancel at any time. On termination we will delete your data per our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. VAULT47 DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULT47'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID VAULT47 IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US$100. VAULT47 IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA.

10. Indemnification

You will indemnify and hold Vault47 harmless from claims arising from Your Content, your use of the Service, or your violation of these Terms or law.

11. Trademarks and brand references

Rolex, Patek Philippe, Audemars Piguet, Cartier, and all other brand names, model names, trademarks, and logos that appear in or are entered into the Service are the property of their respective owners. Vault47 is an independent software provider and is not affiliated with, authorized by, endorsed by, or sponsored by any watch or jewelry manufacturer. Brand references exist solely to let you catalog and describe your own inventory.

12. Copyright complaints (DMCA)

We respect intellectual property rights and will respond to valid notices under the Digital Millennium Copyright Act. To report material you believe infringes your copyright, send a written notice to legal@vault47.cloud including:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the material claimed to be infringing and where it is located in the Service.
• Your contact information (address, telephone number, email).
• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We may remove or disable access to the material, notify the affected user, and terminate repeat infringers. If you believe material was removed in error, you may submit a counter-notice to the same address with equivalent detail.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.

14. Changes

We may update these Terms. Material changes will be announced in-app or by email. Continued use after changes take effect constitutes acceptance.
